1. Introduction

These Terms & Conditions ("Agreement") govern the use of services provided by Wayone IT ("Company", "we", "our", "us"). By accessing our website or engaging our services, you ("Client", "User") agree to be legally bound by this Agreement.

2. Scope of Services

Wayone IT provides services including but not limited to Web Development, Mobile App Development, CRM Development, Digital Marketing, Lead Generation, Consulting, and Custom Software Solutions. All services are subject to separate proposals, contracts, or statements of work (SOW).

3. Service Engagement & Contracts

Each project shall be governed by a mutually agreed proposal or contract outlining scope, deliverables, timelines, payment structure, and obligations. In case of conflict, the signed contract shall prevail over these Terms.

4. Payment Terms

Clients agree to make payments as per agreed milestones or retainer structure. Late payments may attract penalties or suspension of services. All fees are non-refundable unless otherwise stated in a written agreement.

5. Intellectual Property Rights

Upon full payment, ownership of agreed deliverables shall transfer to the Client unless otherwise specified. The Company retains rights to proprietary tools, frameworks, methodologies, and pre-existing intellectual property.

6. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. Confidential information shall not be disclosed to third parties without prior written consent except where required by law.

7. Limitation of Liability

Wayone IT shall not be liable for indirect, incidental, consequential, or special damages including loss of profits, data, or business interruption. Liability shall be limited to the total fees paid for the specific service giving rise to the claim.

8. Warranties Disclaimer

Services are provided on an 'as-is' and 'as-available' basis unless otherwise specified in a signed agreement. The Company does not guarantee specific business outcomes, rankings, or revenue results.

9. Termination

Either party may terminate services as per contractual terms. Termination does not relieve the Client from payment obligations for work completed or services rendered prior to termination.

10. Compliance with Laws

Both parties agree to comply with applicable laws and regulations including data protection and intellectual property laws in the relevant jurisdiction.

11. Data Protection & Privacy

All personal data shall be processed in accordance with applicable data protection laws including the Information Technology Act, 2000 (India), UAE Federal Decree-Law No. 45 of 2021, and GDPR where applicable. Please refer to our Privacy Policy for detailed information.

12. Force Majeure

The Company shall not be liable for delays or failure to perform resulting from causes beyond reasonable control including natural disasters, government actions, internet failures, or third-party disruptions.

13. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India and/or the United Arab Emirates, depending on the service engagement location. Any disputes shall be subject to the exclusive jurisdiction of the competent courts in the respective governing territory.

14. Dispute Resolution

Parties agree to attempt amicable resolution through negotiation prior to initiating legal proceedings. If unresolved, disputes shall be handled in accordance with the governing jurisdiction clause.

15. Amendments

Wayone IT reserves the right to amend these Terms & Conditions at any time. Updated versions shall be published on the website and become effective immediately upon publication.
